Terms of Service (Public Offer)

This document is a public offer made by Sole Proprietor Sokurenko Evgeniy Dmitrievich (hereinafter, «Picoria», «Operator», «Service Provider») to any legally capable individual (the «User») who intends to use the Picoria service available at picoria.com. Pursuant to Article 437 of the Russian Civil Code, this offer contains all essential terms of the Agreement and is deemed concluded upon its acceptance.

1. Definitions

  • Picoria — software-and-hardware complex (web service) providing the User with the ability to create images using artificial- intelligence technologies.
  • User — an individual who has accepted this Agreement and uses the Service.
  • Account — User's record in the Service, accessed via login and password or via authentication providers.
  • Credits — internal accounting units used to pay for generations. Credits are not electronic money and cannot be exchanged for cash.
  • Generation — the result of artificial-intelligence algorithms processing the User's request (an image or set of images).
  • User Content — photos, text prompts, and other materials uploaded or entered by the User.

2. Subject of the Agreement

Picoria undertakes to grant the User access to the Service's functionality, including AI image generation, and the User undertakes to pay for the use of the Service in accordance with this Agreement.

The Service is provided «as is». The full set of features is determined by Picoria unilaterally and may change without prior notice to the User.

3. Acceptance of the offer

Acceptance of this offer in full (concluding the Agreement) is constituted by any of the following actions of the User:

  • registration of an Account in the Service;
  • continued use of the Service in guest mode after reviewing this Agreement;
  • payment for credits or a subscription to the Service.

By taking such actions, the User confirms that they have read this Agreement, understand its terms, possess the necessary legal capacity, and accept the terms unconditionally.

4. Registration and account

The User must provide accurate information at registration and keep it up to date. The User is fully responsible for keeping their access credentials confidential and for all actions performed under their Account.

A User may have only one Account. Picoria reserves the right to block duplicate accounts and accounts created with incorrect or false information.

5. Credits and payment

Use of the Service's features is paid for by debiting credits from the User's balance. Credit pricing and tariff plans are published on the payment page and may be changed by Picoria unilaterally. Tariff changes do not apply to credits purchased earlier.

Payments are made in Russian rubles via the payment partner JSC Tinkoff Bank or another acquiring bank specified on the payment page. After successful payment, credits are added to the User's balance automatically.

Credits do not expire within an active Account, are not transferable between accounts, and are not exchangeable for cash, except for the refund cases described in section 10 of this Agreement.

6. User rights and obligations

The User agrees to:

  • use the Service in accordance with this Agreement and Russian law;
  • not engage in any actions aimed at disrupting the Service, bypassing technical restrictions, reverse-engineering, or other unlawful actions;
  • not use the Service to create content that infringes third-party rights or Russian law;
  • keep their contact information up to date;
  • pay for the Service in a timely manner.

The User has the right to:

  • use the Service for personal, non-commercial, and (subject to license terms) commercial purposes;
  • delete their Account at any time;
  • contact support at support@picoria.com.

7. Prohibited content and actions

The User is strictly prohibited from using the Service to:

  • create images depicting minors in inappropriate ways, including any material that could constitute CSAM;
  • create, distribute, or store extremist materials, calls for violence, or incitement of hatred and enmity;
  • create images of real persons without their consent for purposes that could harm them (deepfake);
  • infringe intellectual-property rights, including copyright, related rights, and patent rights of third parties;
  • infringe trademarks and trade names;
  • distribute pornographic materials, including those involving persons who have not consented to such use;
  • engage in fraudulent activities, deceive third parties, or impersonate officials, government bodies, or organizations.

If a violation is detected, Picoria may immediately block the User's access to the Service, remove the offending content, and forward information about the violation to the competent authorities.

8. Intellectual property

All exclusive rights to the Service's software, design elements, databases, texts, and graphic materials belong to Picoria, unless such rights belong to third parties.

The User retains all proprietary and personal non-property rights to their User Content. By uploading content, the User grants Picoria a free, non-exclusive, worldwide license to use the content to the extent necessary for providing services under this Agreement.

Rights to use the generated images pass to the User upon creation. The User is solely responsible for ensuring that their requests and the resulting generated images comply with applicable law, including third-party image rights.

9. Limitation of liability

Picoria does not guarantee uninterrupted and error-free operation of the Service. Picoria is not liable for any direct or indirect damages, lost profits, or other losses incurred by the User or third parties as a result of using the Service, including in connection with:

  • temporary unavailability of the Service for technical reasons;
  • actions of third parties, including AI-model providers and payment partners;
  • errors or inaccuracies in the generated results;
  • the User's breach of this Agreement.

Picoria's total liability under this Agreement is limited to the amount actually paid by the User for using the Service during the three months preceding the events that gave rise to the claim.

10. Refunds

Refunds for unused credits are available within 14 days of payment, provided the credits have not been fully used by the User. Refund requests must be sent to support@picoria.com with the payment identifier and the reason for the refund.

Used credits, including those spent on generations whose results the User considers unsatisfactory, are non-refundable, except where the unsatisfactory result was caused by a technical malfunction of the Service. In such cases, Picoria refunds the spent credits upon User request.

11. Confidentiality

The conditions for processing the User's personal data are set out in the Privacy Policy, which is an integral part of this Agreement.

12. Amendments and termination

Picoria may unilaterally amend the terms of this Agreement by publishing a new version at picoria.com/en/terms. Changes take effect upon publication unless otherwise specified. Continued use of the Service after publication constitutes acceptance of the new version.

The User may stop using the Service at any time and delete their Account by sending a request to support@picoria.com or via the self-service deletion function in their account.

Picoria may unilaterally terminate the Agreement and block the User's access to the Service in the event of a User's breach of the Agreement, including section 7 «Prohibited content and actions».

13. Governing law and dispute resolution

This Agreement is governed by and construed in accordance with the laws of the Russian Federation. Any disputes arising out of or in connection with this Agreement shall be resolved through negotiations.

If no agreement can be reached through negotiations, the dispute shall be referred to the court at the Operator's location in accordance with the jurisdictional rules established by Russian law.
